Estonian OÜ vs UK Ltd
An Estonian private limited company (OÜ) and a UK private limited company (Ltd) can both be formed online by founders who live elsewhere. The OÜ pays no tax on retained profits and 22% when it distributes them; the Ltd pays UK corporation tax of 19% to 25% on its profits, and the UK withholds nothing on ordinary dividends.

Our take
An Estonian OÜ suits founders who reinvest most of their profits, invoice EU clients and want to run everything digitally through e-Residency.
A UK Ltd suits founders who sell to UK customers or rely on the UK's wide market of payment providers, and who accept annual corporation tax and accounts. With both, a company run from your country of residence may be taxed there as well, so check the rules where you live.
Questions
Is an Estonian OÜ or a UK Ltd better for a non-resident?
An OÜ suits founders who reinvest profits, because tax arises only on distribution. A UK Ltd pays corporation tax every year but is widely accepted by UK customers and payment providers. In both cases your country of residence may tax the company or the dividends.
Do I need to visit Estonia or the UK?
Not usually. e-Residency needs a card collected at a pickup point, and Estonian company registration then runs online. UK registration is online too, after directors and people with significant control have verified their identity with Companies House.
When is VAT registration required?
In Estonia, once taxable turnover exceeds €40,000 in a calendar year; the standard rate has been 24% since 1 July 2025. In the UK, once taxable turnover exceeds £90,000 in 12 months, and voluntary registration is possible below that.
