Panama: company, residency and banking

Overview
Panama combines a dollar-based economy, a large international banking centre and residence routes for very different profiles. Nationals of a closed list of countries can use Friendly Nations by showing an economic tie; investors can obtain residence through property, securities or deposits; pensioners qualify with a lifetime pension.
Its tax system is territorial. Citizens and residents pay income tax on income from Panamanian sources, so dividends, interest or fees earned abroad are generally outside its scope. Whether your current country still taxes you after you leave is a separate question decided by that country's rules.
A Panamanian company can also be the employer that qualifies its own owner for Friendly Nations residence. That makes Panama one of the few places where one structure gives you a territorial-tax company, a local bank relationship and a residence permit.
Redomiciled helps you choose the route, prepare the documents and coordinate with licensed Panamanian attorneys, who file the immigration application and give the legal and tax advice.
Panama residency for founders and investors
Panamanian permanent residence lets foreigners live in Panama indefinitely, reached through routes such as Friendly Nations, Qualified Investor or the pensioner visa. Since September 2026 the Qualified Investor route follows Executive Decree 17, which kept B/. 300,000 for new property. It suits founders, investors and retirees with income from abroad.
Friendly Nations is open only to nationals of a closed list of countries set by decree, which includes the United States, Canada, the United Kingdom and many European states; Ecuador was added on 31 August 2026. Applicants show an economic tie: a job with a Panamanian employer, property worth at least B/. 200,000, or a three-year fixed deposit of at least B/. 200,000 with a Panamanian bank. The Servicio Nacional de Migración (SNM) first grants two years of provisional residence, after which permanent residence is requested. The status does not replace a work permit from the Ministry of Labour.
The Qualified Investor route was rewritten by Executive Decree 17 of 8 September 2026, which replaced the 2020 decree. New property bought from the developer still qualifies from B/. 300,000, resale property from B/. 500,000, investments through a licensed Panamanian broker from B/. 500,000, and fixed deposits from B/. 750,000, or B/. 500,000 at Banco Nacional or Caja de Ahorros. Funds must be your own, of foreign origin and traceable, and the investment has to be kept for five years.
The decree sets maximum processing times: 15 working days for the Ministry of Commerce and Industries to certify the investment once the file is admitted, and 30 working days for the SNM decision. Applications filed before 16 September 2026 follow the old rules, and binding investments made earlier can use them if the application is filed within six months.
Pensioners with a lifetime pension of at least B/. 1,000 a month qualify for a separate permanent permit. Every route is filed by a Panamanian attorney under a notarised power of attorney; licensed attorneys and tax advisers give the advice, while Redomiciled coordinates documents and timing.

- 2Prepare documents abroadObtain the criminal record certificate and civil records, apostille them and have them translated into Spanish.
- 3Make the investment or establish the tieBuy the property, place the deposit or investment through a Panamanian institution, or sign the employment contract.
- 4File the applicationYour attorney files with the SNM; Qualified Investor files are first certified by the Ministry of Commerce and Industries and can be lodged before you arrive in Panama.
- 5Registration and residence cardQualified Investors complete biometric registration with the SNM before any card is issued. Friendly Nations holders apply for permanent residence when the two-year provisional permit ends.
Tax notes
- Panama taxes citizens and residents on Panamanian-source income only. Income generated outside Panama is generally not taxed there, and interest on savings and time deposits at banks established in Panama is exempt.
- Rates on Panamanian-source income are 0% up to USD 11,000, 15% up to USD 50,000 and 25% above, with no local income taxes.
- PwC describes a tax resident as someone physically present and generating income in Panama for more than 183 days in a year. Holding a residence card does not by itself end your tax residence elsewhere.
- If you will earn income in Panama, from employment, a local company or Panamanian property, a licensed Panamanian tax adviser should review the position before you arrive.
General information, not tax advice. Your position depends on your circumstances.
Banking fit
- Friendly Nations deposits and Qualified Investor deposits are made with Panamanian banks, so banking and immigration planning go together.
- Banks decide independently after their own checks; a residence permit helps but is not decisive.
- Start with our banking assessment if banking, rather than residence, is your main goal.
Questions
How do I get residency in Panama?
Choose a route, prepare apostilled documents and file through a Panamanian attorney. Friendly Nations applicants show a job, property or deposit and receive two years of provisional residence first; Qualified Investors and pensioners apply for permanent residence directly.
Is Panama's Friendly Nations visa still available?
Yes. As of October 2026 it operates under Executive Decree 416 of 2012 as amended in 2021, and Ecuador was added in August 2026. Applicants need a Panamanian job, property of at least B/. 200,000 or a three-year deposit of the same amount.
How much do I need to invest for Panama's Qualified Investor visa?
From B/. 300,000 for new property bought from the developer, B/. 500,000 for resale property or securities through a licensed Panamanian broker, and B/. 750,000 for a fixed deposit, reduced to B/. 500,000 at Banco Nacional or Caja de Ahorros. The investment must be held for five years.
What changed for the Qualified Investor visa in 2026?
Executive Decree 17 of 8 September 2026 replaced the 2020 regime. It separates new and resale property, adds a lower deposit threshold at state banks, requires traceable own funds held for five years and sets maximum processing times for the ministry and the SNM.
Can I work in Panama with residency?
Residence and the right to work are separate. Friendly Nations status, for example, does not replace a work permit from the Ministry of Labour, so employees of Panamanian companies need that permit as well.
Can residency lead to Panamanian citizenship?
The Qualified Investor decree allows investors and their dependants to apply for naturalisation after five consecutive years of residence, subject to the constitutional requirements. Other routes follow the general naturalisation rules, which a Panamanian attorney can explain for your case.
Panama company formation and the employment route
A Panamanian sociedad anónima (S.A.) or sociedad de responsabilidad limitada (S. de R.L.) can be wholly foreign-owned and is taxed on a territorial basis: 25% on Panamanian-source profits, while genuinely foreign-source income is generally outside Panamanian tax. Every company pays a USD 300 annual franchise tax (tasa única) and keeps a resident agent.
How a Panama corporation (S.A.) works. The sociedad anónima is Panama's standard vehicle for holding and international business, governed by Law 32 of 1927. It needs at least three directors and three officers (president, secretary and treasurer), of any nationality and living anywhere; one person can hold several offices. A single shareholder is enough, and there is no minimum paid-up capital.
The Public Registry shows the directors, officers and resident agent, but not the shareholders. Owners who prefer not to appear on the public record can use nominee directors and officers supplied by the law firm, while ownership and control stay with them through the share register and a written nominee agreement.
Privacy now stops at the regulator. Every company must appoint a resident agent, a licensed Panamanian lawyer or law firm, which collects due diligence on owners and directors and reports every beneficial owner holding 25% or more to a private registry run by the Superintendency of Non-Financial Entities under Law 129 of 2020. Bearer shares can no longer circulate freely: they must be held by an authorised custodian. Companies must also keep accounting records, under Law 52 of 2016.
S.A., S. de R.L. or foundation. The S.A. suits holding, trading and international structures. The S. de R.L. is Panama's LLC equivalent, run by managers, and suits a single operating business. A private interest foundation has no owners and is used for estate planning and to hold an S.A.'s shares for a family. Many clients combine them: a foundation owns the S.A., the S.A. holds the assets or trades.
What it is used for. Holding companies above operating companies elsewhere; trading and service businesses with clients outside Panama, whose profits are foreign-source; holding Panamanian property, which can also qualify for Friendly Nations residence; and the employment route described below.
| Panama S.A. at a glance | |
|---|---|
| Law | Law 32 of 1927 |
| Directors | Minimum 3, any nationality, anywhere |
| Officers | President, secretary, treasurer; can be the directors |
| Shareholders | 1 or more; not on the public register |
| Nominee directors and officers | Permitted, supplied by the resident agent's firm |
| Resident agent | Licensed Panamanian lawyer or law firm, required |
| Beneficial owners (25%+) | Reported to a private, non-public registry (Law 129 of 2020) |
| Bearer shares | Only through an authorised custodian |
| Annual franchise tax | USD 300 |
| Accounting records | Required (Law 52 of 2016) |
The company can also anchor residence. Under the Friendly Nations employment option, a national of a listed country is hired by a Panamanian company, and that company can be their own. Since the 2021 reform, simply owning or being a shareholder of a company is not enough on its own: the company needs its Business License (Aviso de Operación), a Public Registry certificate and an employment letter on its letterhead naming the applicant.
The applicant first receives two years of provisional residence, then applies for permanent residence 30 days before it expires. The company must stay active and in good standing throughout: franchise tax, municipal tax, accounting and annual returns. A work permit from the Ministry of Labour and registration with social security are separate steps, and only needed if the applicant will actually work in Panama.
From 2027, companies in larger international groups that earn passive income from abroad must show real activity in Panama. A stand-alone company owned by one person is generally not affected.
Redomiciled coordinates incorporation, the Business License and the residence file with licensed Panamanian attorneys, and introduces a Panamanian public accountant for the filings.

Questions
Can my own company sponsor my Panama residency?
Yes, under the Friendly Nations employment option, if you hold a listed nationality. The company needs a Business License and must hire you; owning shares alone does not qualify since 2021.
Do I have to pay myself a salary or join social security?
A work permit and social security registration are separate steps. Many applicants who do not work in Panama skip them, but your attorney should confirm what your file needs.
How much does a Panama company cost to keep?
Budget for the USD 300 franchise tax, the resident agent's annual fee, a small monthly municipal tax and monthly accounting, so the company stays in good standing for permanent residence.
Does Panama's new substance law affect my company?
Only entities in a multinational group that earn foreign-source passive income. A stand-alone company owned by one person is generally outside it, but holding structures should be checked.
How many directors does a Panama company need?
A Panama S.A. needs at least three directors and three officers: president, secretary and treasurer. They can be of any nationality, and one person can hold several roles.
Can I use nominee directors in Panama?
Yes. Nominee directors and officers are lawful and common, so the owner does not appear on the public register. The beneficial owner is still identified to the resident agent and recorded in a private government registry.
Are Panama shareholders public?
No. The Public Registry shows directors, officers and the resident agent, not shareholders. Beneficial owners of 25% or more are reported to a registry that only competent authorities can access.

Banking partners
- Panamanian banks apply thorough onboarding checks to foreign clients, including source of funds and tax residence. A residence card helps, but it does not oblige any bank to open an account.
- Some routes need a local bank before the immigration file is complete: a fixed deposit for Friendly Nations or the Qualified Investor deposit option, or an account to pay for property. Choosing the bank early avoids delays.
- Our network includes one Panamanian institution offering private and corporate banking; we share names only with clients. The banking assessment tells you whether it fits your situation.
Questions
Does Panama tax income earned abroad?
Panama taxes citizens and residents on Panamanian-source income. Income generated outside Panama, such as rent from a property abroad or dividends from a foreign company, is generally not taxed there, although your former country of residence may still claim it.
Which Panama residency route suits me?
It depends on your nationality, capital and plans. Friendly Nations needs a qualifying passport and a job, property or deposit; Qualified Investor needs a larger investment but leads straight to permanent residence; the pensioner route needs a lifetime pension.
Can Redomiciled open a bank account for me in Panama?
We help prepare the documentation and introduce you to an institution in our network. Account opening remains the bank's decision after its own due diligence.
